The structure you incorporate under decides how much compliance you carry every year, how easily you can raise money, and whether your personal assets are exposed. It is far cheaper to choose correctly now than to convert later.
Which structure should you choose?
There is no single best answer, only the one that fits how you intend to trade and who you intend to raise money from. In practice the choice comes down to four questions.
- Are you raising external investment? Investors expect a private limited company. Almost no institutional investor will put money into an LLP or a proprietorship.
- How much annual compliance can you carry? A private limited company files AOC-4, MGT-7 and holds board meetings every year. An LLP is lighter. A proprietorship has none of it.
- Is limited liability the point? A proprietorship and a partnership expose personal assets. An LLP, OPC and private limited company do not.
- Are you on your own? A private limited company needs two directors and two shareholders. A One Person Company gives a solo founder the same protection with a nominee instead.

Frequently Asked Questions
Take a private limited company if you plan to raise investment, issue shares to a co-founder, or sell to enterprise customers who check the register. Take an LLP if it is a professional practice or a stable trading business with no outside investors, since the annual compliance is lighter and there is no dividend distribution to plan around.
